PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE PURCHASING OR PARTICIPATING IN ANY SERVICE, PROGRAM, OR PRODUCT OFFERED BY SOPHIA HARRIS, TRADING AS LIBERATED WOMAN ("COMPANY", "WE", "US", OR "OUR"). BY ENROLLING IN, PURCHASING, OR ACCESSING ANY SERVICE, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS.
IF YOU DO NOT AGREE WITH ANY PART OF THESE TERMS, YOU MUST NOT ACCESS OR USE OUR SERVICES AND MUST DISCONTINUE ANY EXISTING ENROLMENT IMMEDIATELY.
These Terms and Conditions apply to all services, products, programs, in person events and digital content offered by Sophia Harris, including but not limited to: the Liberated Leader Program, Liberated Leader Alumni, the Liberated Woman Program, and all other programs, digital products, self-study courses, workshops, breathwork sessions, events and other offerings available through www.sophiaharris.com.au or any associated platform.

1. INTERPRETATION
The following definitions apply throughout these Terms and Conditions:
1.1 "Company", "we", "us", "our" means Sophia Harris, trading as Liberated Woman, a business registered in Australia (ABN: [INSERT ABN]).
1.2 "Client", "Participant", "you", "your" means the individual who purchases, enrols in, or participates in any Service offered by the Company.
1.3 "Services" means all products, programs, sessions, digital content, and any other offerings provided by the Company, whether in-person or online, including but not limited to: the Liberated Leader Program, Liberated Leader Alumni, the Liberated Woman Program, breathwork sessions, masterclasses, workshops, immersions, online courses, digital downloads, and any future offerings.
1.4 "Containers" means the Liberated Leader Coaching Program and the Liberated Leader Alumni Program, being long-form, high-touch coaching and mentorship containers.
1.5 "Programs" means the Liberated Woman Program and any other group coaching, group healing, or group mentorship programs offered by the Company.
1.6 "Digital Products" means any self-study course, workshop recording, digital download, masterclass, individual session, or standalone offering made available by the Company.
1.7 "Content" means all materials including text, video recordings, audio recordings, workbooks, guides, meditations, module content, photographs, and other intellectual property made available through the Services.
1.8 "Confidential Information" means any personal, financial, emotional, or business information shared by either party in connection with the Services.
1.9 "Payment Default" means a failure to make any scheduled instalment payment within 72 hours of its due date.
1.10 "Site" means www.sophiaharris.com.au and any associated platform used to deliver the Services.
2. OUR SERVICES
Sophia Harris provides transformational coaching, healing, and personal development services to women and soul-led entrepreneurs. Services include trauma-informed breathwork facilitation, NLP and Timeline Therapy™ coaching, energy healing, spinal attunement, business energetics mentorship, and related modalities, delivered in both individual and group formats online and in person.
The information and tools provided through our Services are intended for educational, personal development, and general wellness purposes. They do not constitute medical, psychological, legal, or financial advice, and are not a substitute for professional medical, mental health, or therapeutic treatment.
All Services are subject to availability. We reserve the right to modify, update, restructure, or discontinue any Service at any time, with reasonable notice provided where practical.
3. ELIGIBILITY
By purchasing or accessing any Service, you confirm and warrant that:
You are at least 18 years of age;
You have the legal capacity to enter into a binding agreement;
All information you provide is accurate, current, and complete;
You are not relying on our Services as a substitute for professional medical, psychological, or therapeutic care;
You understand that results from the Services are not guaranteed and will vary between individuals; and
You are voluntarily choosing to participate in these Services.
Our Services are intended for individuals who are physically and emotionally stable enough to engage with transformational and somatic practices. If you have any concerns about your suitability, please contact us before enrolling.
4. INTELLECTUAL PROPERTY RIGHTS
4.1 Ownership
All Content created and provided by Sophia Harris through the Services — including but not limited to coaching frameworks, breathwork protocols, meditations, workbooks, videos, audio recordings, templates, written materials, and branding — is the exclusive intellectual property of Sophia Harris and is protected by Australian and international copyright laws.
4.2 Personal Use Licence
Upon purchase, you are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Content solely for your own personal, non-commercial purposes. This licence does not confer ownership.
4.3 Prohibited Uses
You may NOT, without prior written consent from Sophia Harris:
Share, distribute, reproduce, resell, publish, or publicly display any Content;
Share your login credentials or access links with any other person;
Record any live sessions (group or 1:1) without express written permission;
Use any Content to create competing products or services;
Use any Content for commercial purposes; or
Adapt, translate, or create derivative works from any Content.
Any breach of this clause will constitute a material breach of these Terms and may result in immediate termination of your access without refund, and legal action may be pursued.
4.4 Your Submissions
Any feedback, testimonials, ideas, or suggestions you provide to us may be used by Sophia Harris for the improvement or promotion of the Services, without compensation or credit to you, unless otherwise agreed in writing.
5. CONTAINERS
This section applies specifically to participants of the Liberated Leader Program and the Liberated Leader Alumni Program (collectively, "Containers").
5.1 Program Structure & Inclusions
The Liberated Leader is a 12-month high-touch coaching and mentorship container. Program inclusions, format, call schedules, and deliverables are outlined in the individual Program Agreement signed at the time of enrolment. In the event of any conflict between these Terms and your Program Agreement, the Program Agreement shall prevail.
The Liberated Leader Alumni Program is a continuation container available exclusively to graduates of the Liberated Leader program. Alumni inclusions and terms are as outlined in the relevant Alumni Agreement.
5.2 12-Month Financial Commitment
By enrolling in the Liberated Leader Program/s, you acknowledge and agree that:
You are entering into a minimum 12-month financial commitment;
Your payment plan (whether paid in full or in instalments) represents the full contracted investment for the program;
Should you choose to discontinue participation at any time during the 12-month term, you remain legally liable for all remaining scheduled payments under your agreed payment plan;
No refunds will be issued on payments already made; and
Discontinuation of participation does not extinguish your financial obligation.
5.3 Scope of Support
Support channels, response times, Telegram access (where included), and any additional inclusions are as described in your individual Program Agreement. Sophia Harris reserves the right to adjust support availability with reasonable notice.
The Liberated Leader is a group mentorship container. While significant personal attention is provided, this is not a 1:1 coaching program unless explicitly stated in your Program Agreement.
5.4 Alumni Container
Participants who complete the full 12-month Liberated Leader Program are eligible to continue in the Liberated Leader Alumni container. Alumni container terms, including duration, inclusions, and payment, are governed by the Alumni Program Agreement provided at the time of enrolment.
5.5 No Guarantee of Results
While Sophia Harris is committed to delivering the highest quality coaching and support, participation in the Containers does not guarantee specific business outcomes, income results, personal transformation milestones, or any other metric of success. Results depend on each participant's individual effort, readiness, and circumstances.
6. PROGRAMS: LIBERATED WOMAN & GROUP OFFERINGS
This section applies to participants in the Liberated Woman Program and any other group programs, masterminds, or group healing containers offered by the Company.
6.1 Program Overview
The Liberated Woman Program is a transformative group program designed to guide participants into their most authentic, regulated, and liberated selves through a blend of breathwork, somatic healing, NLP, energy work, and personal development teachings.
6.2 Financial Commitment
By enrolling in the Liberated Woman Program or any other Program:
You agree to pay the full program investment or complete your agreed payment plan;
If a payment plan is selected, all instalments remain payable regardless of continued participation;
Discontinuing participation does not release you from your payment obligations for any remaining instalments.
6.3 Group Environment
Group programs are shared learning and healing spaces. You agree to:
Treat all other participants with respect, compassion, and dignity;
Maintain the confidentiality of all personal information shared by other participants;
Refrain from recording group sessions without written consent from Sophia Harris and all participants;
Refrain from promoting your own products, services, or other programs within group spaces without express permission from Sophia Harris; and
Participate in a manner that supports a safe and positive container for all.
Sophia Harris reserves the right to remove any participant from a group program at her sole discretion for conduct that disrupts the container or violates these Terms, without refund.
7. DIGITAL PRODUCTS
This section applies to all standalone digital products, self-study courses, workshops, individual breathwork sessions, masterclasses, immersions, and any other standalone offerings made available by the Company ("Digital Products").
7.1 Access
Upon purchase of a Digital Product, you will be granted access to the Content as described at the point of sale. Access periods, platform details, and Content inclusions are specified at the time of purchase.
7.2 All Sales Final
All purchases of Digital Products are final. Due to the immediate digital delivery and intellectual property nature of these products, no refunds will be issued except as required by applicable Australian Consumer Law.
7.3 No Sharing or Resale
Digital Products are licensed for the sole personal use of the purchasing individual. You may not share access, login credentials, or any Content from these products with any other person, nor may you resell, reproduce, or redistribute any Content.
7.4 Payment Plans for Digital Products
Where a payment plan is offered for a Digital Product, you acknowledge that all instalments are payable in full regardless of whether you complete or access the program. Accessing even part of the Content constitutes acceptance of this obligation.
8. PAYMENT TERMS & PAYMENT PLANS
8.1 Accepted Payment Methods
We accept payment via Stripe, credit card, or such other payment methods as specified at checkout. All prices are displayed in Australian Dollars (AUD) unless otherwise stated.
8.2 Payment Plans
Where a payment plan is offered, the following terms apply:
You authorise the Company (via our payment processor) to charge your nominated payment method on the agreed schedule without requiring further approval for each instalment;
It is your sole responsibility to ensure sufficient funds are available on each due date;
If a payment fails, you must contact us within 24 hours to arrange resolution;
Failed payments may result in immediate suspension of access to Services until resolved; and
You may not withdraw from a payment plan once you have commenced participation in or accessed any part of the Services.
8.3 Payment Default
In the event of a Payment Default (failure to pay within 72 hours of a scheduled instalment):
Access to Services may be immediately suspended;
You remain liable for all outstanding amounts under the agreed payment plan;
Interest may accrue on unpaid amounts at a rate of 10% per annum from the date of default until full payment is received;
If the default remains unresolved for 30 days, we reserve the right to refer the outstanding debt to a third-party collection agency, and all associated costs will be added to the outstanding balance; and
We reserve the right to pursue any and all legal remedies available to us under Australian law.
8.4 Price Changes
We reserve the right to change the pricing of any Service at any time. Price changes will not affect payments already made for Services purchased prior to the change.
9. REFUND POLICY
We have a firm no-refund policy across all Services, including Containers, Programs, and Digital Products, for the following reasons: our Services involve significant preparation, personalised support, and the delivery of intellectual property that cannot be "returned."
Specifically:
Containers (Liberated Leader & Alumni): No refunds will be issued at any point during the committed term. You remain liable for all instalments regardless of participation.
Programs (e.g., Liberated Woman): No refunds will be issued once access to the program has commenced.
Digital Products: All sales are final and non-refundable due to immediate digital delivery.
Individual Sessions: Cancellations made with less than 24 hours notice will forfeit the session fee.
Nothing in this clause is intended to limit or exclude your rights under the Australian Consumer Law (ACL), including your right to a refund where Services are not provided with due care and skill or are not fit for the described purpose.
10. HEALTH, SAFETY & SOMATIC/BREATHWORK DISCLAIMER
10.1 Participant Health Responsibility
By participating in any Service — particularly breathwork, somatic healing, energy work, and NLP — you confirm that:
You are in a physical and emotional state that allows you to safely engage with these practices;
You have consulted with a qualified healthcare provider if you have any medical conditions, injuries, mental health diagnoses, or concerns about your suitability for these practices; and
You have disclosed to Sophia Harris any relevant health information prior to participating, including but not limited to: cardiovascular conditions, epilepsy, pregnancy, history of psychosis, current medication, and significant trauma.
10.2 Breathwork-Specific Disclaimer
Breathwork practices, including conscious connected breathing, can produce intense physical, emotional, and psychological responses, including but not limited to: tingling, muscle tension, emotional release, altered states of consciousness, surfacing of memories or emotions, and physical sensations. These responses are generally temporary and part of the healing process; however, they can be overwhelming for some individuals.
Breathwork is CONTRAINDICATED (not recommended and potentially unsafe) for individuals who:
Are pregnant or may be pregnant;
Have cardiovascular disease, a history of heart attack or stroke, or an uncontrolled heart condition;
Have epilepsy or a history of seizures;
Have a diagnosis of schizophrenia, bipolar disorder (type 1), or active psychosis;
Have recently had surgery or a significant injury;
Have severe PTSD or are in acute trauma crisis (please discuss with Sophia before participating);
Have been advised by a medical professional not to engage in intense breathing practices; or
Are currently taking medications that may be affected by altered breathing patterns.
If any of the above apply to you, you must disclose this to Sophia Harris before participating in any breathwork session. Sophia reserves the right to decline your participation if she deems it unsafe.
10.3 Not Medical or Therapeutic Treatment
All Services provided by Sophia Harris — including breathwork, NLP, energy healing, spinal attunement, and coaching — are offered as complementary wellness and personal development tools and are NOT a substitute for medical, psychiatric, or psychological treatment. No warranty or guarantee of therapeutic outcomes is made.
10.4 Assumption of Risk
By participating in any Service, particularly breathwork and somatic practices, you voluntarily assume all risks associated with that participation and agree to hold Sophia Harris harmless from any claims arising from your participation, to the fullest extent permitted by law.
11. EMERGENCY CONTACT & MEDICAL DECISIONS
For all in-person events, retreats, workshops, and immersions, you are required to provide a valid emergency contact name and phone number at the time of registration.
In the event of an emergency, Sophia Harris reserves the right to contact your emergency contact and/or seek external emergency medical support as she deems necessary in her reasonable judgment. You agree to hold Sophia Harris and the Company harmless for any decisions made in good faith in emergency situations.
12. CONFIDENTIALITY
12.1 Our Commitment to You
All personal information, health disclosures, and personal sharing that occurs within 1:1 coaching sessions and private communications will be held in strict confidence by Sophia Harris and will not be shared with third parties without your express consent.
12.2 Exceptions
Confidentiality will be broken where Sophia Harris reasonably believes there is:
An immediate risk of harm to you or another person;
A legal obligation to disclose (e.g., subpoena); or
A regulatory or child safety obligation to report.
12.3 Group Confidentiality
For group programs, retreats, and workshops, all participants are expected to maintain the confidentiality of personal information shared by other participants within the group container. What is shared in the container stays in the container.
12.4 Sophia Harris Is Not a Therapist
Sophia Harris operates as a coach, breathwork facilitator, and healer — not as a registered psychologist, counsellor, or therapist. The professional confidentiality obligations applicable to registered mental health professionals do not apply in the same way; however, Sophia is committed to upholding the highest ethical standards of discretion and care.
13. PHOTOGRAPHY, VIDEO & LIKENESS
By attending any in-person or live online event, retreat, workshop, masterclass, or session hosted by Sophia Harris, you acknowledge and agree that:
Sophia Harris or her team may take photographs and/or video recordings during the event;
You grant Sophia Harris an irrevocable, royalty-free licence to use your image, name, voice, and likeness in such recordings for marketing, promotional, educational, and social media purposes; and
Such Content may be published across social media platforms, the Company website, email marketing, and other promotional channels.
If you do NOT wish to be photographed or recorded, you must notify Sophia Harris in writing prior to the commencement of the event. We will make reasonable efforts to accommodate this request, however we cannot guarantee exclusion from all group content.
14. USER-GENERATED CONTENT & SOCIAL MEDIA
14.1 Testimonials & Social Sharing
By sharing a testimonial, review, or feedback (written, audio, or video) with Sophia Harris, you grant the Company permission to use and publish that content across all marketing and promotional channels, with attribution to your first name (or as agreed).
14.2 Community Standards
Participation in any online community space (Slack, Facebook, Circle, Telegram, or similar) associated with our Services is subject to the following:
You agree to engage respectfully and constructively with all other members;
You will not share, promote, or sell your own products or services within community spaces without express written permission from Sophia Harris;
You will not record, screenshot, or share other members' content or personal shares without their express consent;
You will not post content that is offensive, discriminatory, hateful, or harmful; and
Violation of community standards may result in immediate removal from the community without refund.
15. PROHIBITED ACTIVITIES
When using our Services, you agree NOT to:
Use the Services for any purpose that is unlawful, fraudulent, or harmful;
Impersonate any person or misrepresent your identity or qualifications;
Attempt to gain unauthorised access to any part of the Services or associated systems;
Use automated tools, bots, or scripts to access or extract Content;
Interfere with or disrupt the proper functioning of the Services or any other user's experience;
Circumvent any technical measures used to protect Content;
Use the Services to harass, intimidate, or harm another person;
Post or transmit any malicious content, spam, or unsolicited communications; or
Use the Services in a way that competes with Sophia Harris or the Company.
Any violation of this clause may result in immediate termination of your access and, where appropriate, referral to relevant authorities.
16. LIMITATION OF LIABILITY & INDEMNIFICATION
16.1 Limitation of Liability
To the fullest extent permitted by Australian law, Sophia Harris and the Company shall not be liable to you or any third party for:
Any indirect, incidental, consequential, special, or punitive damages;
Loss of data, income, profits, or business opportunities;
Emotional distress or mental harm arising from participation in the Services (beyond what is covered by our duty of care);
Any physical injury, accident, or harm occurring during in-person or online events, where you have assumed responsibility for your own safety; or
Technical failures, outages, or errors on third-party platforms used to deliver the Services.
Where liability cannot be excluded by law, our total aggregate liability to you for any claim arising from the Services is limited to the total amount paid by you for the specific Service to which the claim relates.
16.2 Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any rights you may have under the Australian Consumer Law (ACL) or any other applicable consumer protection legislation. Where the ACL applies, our liability is limited to: re-supplying the Services, or paying the cost of having them re-supplied.
16.3 Indemnification
You agree to indemnify, defend, and hold harmless Sophia Harris, her employees, contractors, agents, and affiliates from any claims, damages, losses, costs, or expenses (including reasonable legal fees) arising from:
Your breach of these Terms and Conditions;
Your violation of any applicable law or third-party rights;
Your use of the Services in a manner not authorised by these Terms; or
Any misrepresentation made by you in connection with the Services.
17. THIRD-PARTY PLATFORMS
Our Services may be delivered through or make use of third-party platforms including but not limited to Kajabi, Zoom, Voxer, Slack, Telegram, Circle, Stripe, and PayPal. We are not responsible for the availability, functionality, or policies of these third-party platforms. Your use of these platforms is subject to their respective terms of service.
We do not endorse and are not responsible for any third-party products, services, links, or content referenced in the course of delivering the Services.
18. PRIVACY POLICY
By using our Services, you agree to our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy governs the collection, storage, use, and disclosure of your personal information in accordance with the Australian Privacy Act 1988 (Cth) and applicable Privacy Principles.
Our Services are hosted and operated in Australia. If you access the Services from outside Australia, your personal data may be transferred to and processed in Australia.
19. ELECTRONIC COMMUNICATIONS
By purchasing or accessing any Service, you agree to receive electronic communications from Sophia Harris, including but not limited to: program updates, scheduling information, payment notifications, marketing communications, and other Service-related notices.
You agree that all agreements, notices, disclosures, and other communications provided electronically (via email or otherwise) satisfy any legal requirement for written communication.
You may opt out of marketing communications at any time by using the unsubscribe link in our emails. Please note that Service-related communications (such as payment reminders and program updates) are not optional and will continue while you are an active participant.
20. MODIFICATIONS & INTERRUPTIONS
Sophia Harris reserves the right to modify, update, suspend, or discontinue any aspect of the Services at any time, with reasonable notice provided where practical. This includes changes to program structure, delivery format, call schedules, inclusions, and platform used.
We reserve the right to update these Terms and Conditions at any time. The updated Terms will be posted on our website with a revised effective date. Continued use of our Services after any changes constitute your acceptance of the updated Terms. We encourage you to review these Terms periodically.
We are not liable for any Service interruptions caused by circumstances beyond our reasonable control, including but not limited to: illness, technical outages, natural disasters, or force majeure events. In such circumstances, we will make reasonable efforts to reschedule or otherwise accommodate affected participants.
21. TERMINATION
21.1 Termination by Sophia Harris
Sophia Harris reserves the right to terminate or suspend your access to any Service, without refund, in the event of:
A breach of any provision of these Terms;
Conduct that Sophia Harris reasonably determines is harmful, disruptive, or unsafe to other participants or the container;
Fraudulent payment or misrepresentation; or
Any other circumstance where continued participation is not in the best interests of the group or the Services.
Termination does not release you from any outstanding payment obligations.
21.2 Termination by You
If you choose to discontinue participation in any Service:
You must notify Sophia Harris in writing;
No refund will be issued for amounts already paid; and
If you are on a payment plan, all remaining instalments remain legally payable as contracted.
22. GOVERNING LAW & DISPUTE RESOLUTION
22.1 Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of [INSERT STATE, e.g., Queensland / New South Wales], Australia. The parties irrevocably submit to the exclusive jurisdiction of the courts of [INSERT STATE], Australia.
22.2 Dispute Resolution
In the event of any dispute arising from these Terms or the Services, the parties agree to:
First attempt to resolve the dispute through good-faith informal communication. Please contact us at [INSERT EMAIL] to raise any concern.
If the matter is not resolved within 14 days of written notice of the dispute, the parties agree to attempt mediation before commencing any formal legal proceedings.
If mediation fails, either party may pursue the matter through the courts of the applicable jurisdiction.
Nothing in this clause prevents Sophia Harris from seeking urgent injunctive or equitable relief from a court where necessary to protect intellectual property or confidential information.
23. GENERAL PROVISIONS
23.1 Entire Agreement. These Terms, together with your Program Agreement (where applicable) and our Privacy Policy, constitute the entire agreement between you and Sophia Harris with respect to the Services and supersede all prior agreements, representations, or understandings.
23.2 Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be severed from these Terms and the remaining provisions shall continue in full force and effect.
23.3 No Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
23.4 No Partnership or Agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Sophia Harris.
23.5 Assignment. You may not assign or transfer any of your rights or obligations under these Terms without prior written consent. Sophia Harris may assign these Terms to any successor entity or business purchaser.
23.6 Force Majeure. We shall not be liable for any failure or delay in performance arising from circumstances beyond our reasonable control, including but not limited to acts of God, government restrictions, pandemics, or natural disasters.
